Terms of Service

01 Acceptance of Terms

By accessing boreanlabs.com ("Site") or engaging Borean Labs Inc. ("Borean Labs," "we," "us," or "our") for any services, you ("Client" or "you") agree to be bound by these Terms of Service. If you do not agree, please do not use our Site or services.

We reserve the right to update these Terms at any time. Continued use of our Site or services following any changes constitutes your acceptance of the revised Terms.

02 Services

Borean Labs provides digital marketing services for local service businesses, including but not limited to:

  • Local search engine optimization (SEO)
  • Google Business Profile optimization and management
  • Google Ads and Meta Ads management
  • Website design and development
  • Citation building and directory management
  • Content creation and copywriting

The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate written service agreement or proposal, which operates alongside these Terms.

03 Eligibility

Our services are intended for businesses and individuals who are at least 18 years of age and have the legal authority to enter into binding agreements on behalf of themselves or their organization. By engaging our services, you represent that you meet these requirements.

04 Payment Terms

Unless otherwise stated in your service agreement:

  • Monthly retainers are billed in advance at the start of each billing cycle
  • Project-based services require a deposit before work commences
  • Invoices are due within 7 days of receipt
  • Late payments may result in a suspension or termination of services
  • All fees are in US dollars and are non-refundable unless explicitly stated otherwise

We reserve the right to adjust ongoing pricing with 30 days written notice.

05 Client Responsibilities

To allow Borean Labs to deliver services effectively, you agree to:

  • Provide accurate and complete business information
  • Grant timely access to required platforms and accounts (Google, Meta, website, etc.)
  • Respond to communications and review requests in a reasonable timeframe
  • Notify us of any business changes that may affect the services
  • Not engage conflicting third-party providers for the same services without prior written notice

Delays resulting from failure to meet these responsibilities may affect timelines and outcomes, for which Borean Labs bears no liability.

06 No Guarantee of Results

Borean Labs applies proven strategies to deliver measurable outcomes. However, we cannot guarantee specific rankings, traffic levels, lead volumes, or revenue. Results are influenced by factors outside our control, including:

  • Search engine algorithm updates
  • Competitive market conditions
  • Changes to client-side websites or business operations
  • Third-party platform policy changes (Google, Meta, etc.)

Case studies and testimonials on our Site reflect genuine past client results and are not guarantees of future performance.

07 Intellectual Property

All content, strategies, frameworks, and deliverables created by Borean Labs remain our intellectual property until full payment is received. Upon full payment, you receive a non-exclusive, non-transferable license to use the deliverables for your stated business purposes.

You may not resell, sublicense, or represent our work as your own without prior written consent. Assets you provide (logos, brand materials, copy) remain your property, and you grant us a limited license to use them solely for delivering the agreed services.

All content on boreanlabs.com — including text, graphics, logos, and code — is the property of Borean Labs and protected by applicable intellectual property laws.

08 Confidentiality

Both parties agree to treat as confidential any non-public information shared during the engagement, including business strategies, pricing, client data, and proprietary processes. Neither party will disclose such information to third parties without prior written consent, except as required by law. This obligation survives the termination of any service agreement.

09 Termination

Either party may terminate ongoing services with 30 days written notice. Upon termination:

  • Fees paid for the current billing period are non-refundable
  • Any outstanding invoices become immediately due
  • We will provide a reasonable transition period and hand off relevant account access
  • Licenses to deliverables are contingent on all balances being settled

Borean Labs reserves the right to terminate services immediately in cases of non-payment, abusive conduct, or material breach of these Terms.

10 Limitation of Liability

To the fullest extent permitted by law, Borean Labs shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services or website, including loss of revenue, data, or business opportunities.

Our total aggregate liability for any claims shall not exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

11 Disclaimer of Warranties

Our services and website are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or free of harmful components, or that any content on our Site is complete or accurate.

12 Third-Party Platforms

Our services frequently involve third-party platforms such as Google and Meta. We are not affiliated with or endorsed by these platforms and are not responsible for changes to their policies, algorithms, or features that may affect your results. Ad spend paid directly to third-party platforms is separate from our management fees and subject to those platforms' own terms.

13 Privacy

Your use of our Site and services is governed by our Privacy Policy, incorporated into these Terms by reference. By using our Site or engaging our services, you consent to the collection and use of your information as described therein.

14 Governing Law & Disputes

These Terms shall be governed by the laws of the State of Nevada. Any disputes that cannot be resolved informally shall be submitted to binding arbitration in Clark County, Nevada, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court where necessary to protect intellectual property or confidential information.

15 Entire Agreement

These Terms, together with any executed service agreement or proposal, constitute the entire agreement between you and Borean Labs and supersede all prior negotiations or representations. If any provision is found unenforceable, the remaining provisions continue in full effect.

16 SMS Messaging Terms

Borean Labs Inc. operates an SMS messaging program called Appointment Reminder & Confirmation Texts, which provides users with timely updates and reminders related to their scheduled appointments.

  • Opting out: You can cancel SMS messages at any time by texting STOP to the number you are being contacted from. Upon sending STOP, we will confirm your unsubscribe status via SMS. After confirmation, you will no longer receive SMS messages from us. To rejoin, simply sign up again as you did initially.
  • Help: If you experience issues with the messaging program, reply with the keyword HELP for assistance, or reach out directly to the phone number you are being contacted from.
  • Carrier liability: Carriers are not liable for delayed or undelivered messages.
  • Message & data rates: Standard message and data rates may apply for messages sent to you from us and from you to us.
  • Message frequency: You will receive Appointment Reminder & Confirmation Texts as needed based on your scheduled appointments. For questions about your text plan or data plan, contact your wireless provider.
  • Privacy: For privacy-related inquiries, please refer to our privacy policy at boreanlabs.com.
